This organisation shall be called the East Anglian Chess Union, and shall be affiliated to the English Chess Federation. 2. The Union shall comprise Bedfordshire, Cambridgeshire, Norfolk, and Suffolk (County) Chess Associations, and other such organisations as the Council may elect from time to time. 3. The objectives of the Union shall be: (a) to encourage the study and playing of chess in all its member organisations; (b) to conduct a championship competition for its member organisations and to arrange and support such other competitions and activities as may seem desirable. 4. Member organisations shall pay an annual fee decided upon from time to time by the Council. 5. The Council (a) The governing body of the Union shall be the Council, which shall consist of: (i) the Officers of the Union; (ii) not more than 3 Delegates from each member organisation; (iii)such other Delegates as the Council may from time to time decide. (b) The Officers shall be elected annually by the Council and shall be the Chairman, General Secretary, Treasurer, County Match Controller and other such Offices as the Council may decide. 6. General Meetings At each General Meeting of the Council the following rules shall apply: (a) The General Secretary shall give at least 21 days written notice of the meeting to delegates of all member organisations as well as their secretaries and to all members of the Executive Committee. Such notice shall include an agenda and all details of any proposed changes in the Constitution or Competition Rules; (b) The quorum shall be eight persons, including proxies pre-notified to the General Secretary; (c) Each member shall have one vote; except that in the event of an equality of votes the Chairman shall have a second and casting vote; (d) Any member of the Council unable to attend a meeting may give to any other member of the Council a proxy vote to be used as he may direct; provided that written notification has been given to the General Secretary; (e) All decisions shall be taken by a simple majority vote; except that the Constitution may be changed only if at least two-thirds of votes cast are in favour of the change. (f) In the event that a quorum shall not exist 30 minutes after the advertised start time of the meeting, the meeting shall be adjourned for not less than four weeks, and be reconvened at a place and time to be agreed by the Chairman and the General Secretary, by giving 21 days notice. This reconvened meeting shall be automatically quorate, irrespective of the number of attendees. 7. The Annual General Meeting (a) The Annual General Meeting of the Council shall be held not later than the 15th July (b) Written notice of any motion for the agenda shall be given to the General Secretary not less than 35 days before the date of the A.G.M. (c) The date of the A.G.M. must be notified to all member organisations at least 60 days before the A.G.M. (d) The business of the A.G.M. shall be: (i) the presentation of trophies, and the presentation by Officers of reports on the activities of the year; (ii) the presentation of an audited statement of accounts for the last financial year; (iii)the appointment of Officers; (iv) the appointment of an auditor or auditors; (v) the transaction of the business shown on the agenda, and such other business as the Chairman may at his discretion accept. 8. Special General Meetings A Special General Meeting of the Council shall be held: (a) within 60 days if requested in writing by not less than two member organisations or (b) by resolution of the Executive Committee Such request or resolution shall state clearly the nature of the business to be transacted, and no other business shall be considered. 9. The Executive Committee (a) Subject to the control of the Council, the general management of the Union shall be vested in an Executive Committee consisting of the Officers of the Union and one delegate from each member organisation. (b) The Executive Committee shall elect from its members the Union delegates to the English Chess Federation. (c) The Executive Committee shall have the power to fill any vacancy occurring during the year, and to co-opt up to three additional members with voting powers. (d) The General Secretary shall give at least 14 days written notice of each meeting to all members of the Committee. (e) The quorum shall be six members. (f) All decisions shall be taken by a simple majority vote. Each member present shall have one vote; except that in the event of an equality of votes the Chairman shall have a second and casting vote. Tournament Rules and Operational Rules The Union will introduce Tournament Rules, which apply to County matches, and Operational Rules, which may apply to any competition held within the EACU. 111. The Constitution, Tournament Rules and Operational Rules may be changed only at General Meetings of the Council. The Constitution was adopted by the first Annual General Meeting on 17 June 1984, and amended by the Annual General Meetings held on 28 June 1997, 15 July 2006 and on 13 July 2008.
